Tata Motors DVR: The Story Behind India’s First DVR Shares

Imagine you own a business, and you need to get some funds from the market by offering shares, but you also want to keep your voting power. How can you do that? The solution is easy. You can issue DVR shares. DVR means differential voting rights. There are two types of shares for Tata Motors Ltd. that are traded on the stock market: an ordinary share and a DVR share.

June 2008: Tata Motors acquired JLR.
December 2008: Tata Motors Ltd. DVR shares got listed on the Indian stock market.

Considering the future business opportunities and the slowdown in the economy brought by the 2007-08 recession, Tata Motors decided to reduce its debt taken for the Jaguar Land Rover Deal. Instead of selling its share, which would have resulted in the reduction of ownership, they chose the path of DVRs. Through DVRs, they were able to hold controlling voting rights and also got the funds needed.

They opted for the DVR option. For every 10 DVR shares, they gave voting rights equivalent to 1 ordinary Tata Motors share. It may seem that it doesn’t matter much, but over 15 years, this difference has made the DVR share to be traded at more than 40%-50% discount compared to an ordinary Tata Motors share. Tata Motors has recently (July 2023) announced the share swap scheme of 7 Tata Motors shares for every 10 DVR shares held by the investors.
